Wholesale Terms of Service
Last updated: 10/24/2026
These Wholesale Terms and Conditions ("Wholesale Terms") apply to every purchase by a business approved for a Shea Radiance wholesale account ("Retailer," "you") from Shea Radiance, LLC ("Shea Radiance," "we," "us"). You accept these Wholesale Terms when your account is approved and again each time you place an order. If these Wholesale Terms conflict with our consumer Terms of Service, Refund Policy or Shipping Policy, these Wholesale Terms control for wholesale purchases.
1. Eligibility
1.1 Wholesale accounts are open only to spas, salons and independent retailers that operate at least one permanent physical storefront. A storefront means a commercial location open to the public on a regular schedule, where customers can see and buy products in person. Home-based businesses, online-only stores, mobile-only businesses, pop-ups, market stalls and businesses that sell only through social media are not eligible.
1.2 To apply, you must give us: your legal business name and address; the storefront address and photos of its interior and exterior; a valid state resale or sales tax exemption certificate; your website address, if any; and any other information we reasonably request. You must tell us within 15 days if you close your storefront, move, change ownership or change your business name.
1.3 Approval is at our discretion. We may decline an application, or suspend or close an account, at any time.
2. Where you may sell
2.1 You may sell Shea Radiance products only (a) in person at your approved storefront locations and (b) on a website that you own and operate, under your own domain, where the order is placed with you and filled from your own inventory.
2.2 You may promote that you carry Shea Radiance products on social media and in email, as long as purchases are completed in your storefront or on your own website.
2.3 You may sell only to end consumers who are buying for personal use. You may not sell, transfer or consign products to any person or business that you know, or have reason to believe, intends to resell them. As a guide, an order larger than [6] units of a single product to one customer is presumed to be for resale unless we agree otherwise in writing.
3. Prohibited sales channels
3.1 You may not offer, list, advertise or sell Shea Radiance products, directly or through anyone else, on any website, app or platform that you do not own and operate. This includes, without limitation:
- Amazon (including Seller Central, Vendor Central and Fulfillment by Amazon), eBay, Walmart Marketplace, Target Plus, Etsy, Temu and Shein
- TikTok Shop, including TikTok LIVE selling, and any affiliate or creator storefront
- Facebook Marketplace, Instagram or Facebook Shops checkout, Poshmark, Mercari, Whatnot, Depop and Craigslist
- Deal, flash-sale and group-buying sites, subscription boxes, liquidators and drop-ship platforms
- Any similar marketplace or social-commerce channel that exists now or launches later
3.2 You may not use a third party, an affiliate company, an employee, a friend, a colleague, or a family member to do anything Section 3.1 prohibits.
3.3 You may not sell or ship products outside the United States without our written approval.
4. Product integrity
4.1 You must sell products only in their original, unopened packaging, exactly as we shipped them. You may not:
- repackage, relabel, rebrand, decant, refill, portion or split products
- remove, cover, alter or obscure any label, ingredient list, batch or lot code, expiration date, safety warning or seal
- combine our products with other brands' products into a single package, kit or gift set offered under one price, unless we approve the format in writing
- sell testers, samples or items marked "not for resale"
- sell products that are damaged, expired or past their period-after-opening
4.2 Spas and salons may use professional-size products in treatments performed at the approved location. Product used in services may not be dispensed into other containers for customers to take home or resell.
4.3 You must store products away from direct sunlight and heat sources, in the conditions shown on the packaging, and rotate stock first in, first out.
5. Pricing, advertising and brand use
5.1 Wholesale prices and account terms are confidential and may not be shared outside your business.
5.2 We publish a suggested retail price for each product.
5.3 We grant you a limited, revocable, non-exclusive license to use our name, logos, product images and approved product descriptions only to promote Shea Radiance products sold under these Wholesale Terms. The license ends when your account closes.
5.4 You may not bid on "Shea Radiance," "Shearadiance" or similar terms in paid search or paid social advertising, or use them in a business name, domain name or social media handle.
5.5 Our products are cosmetics. You may not make claims that a product treats, cures or prevents any disease or condition, or any claim we have not approved in writing.
6. Orders
6.1 Opening order minimum: $250.00 at wholesale price. Reorder minimum: $100.00.
6.2 Orders are binding once we confirm them. We may limit quantities, decline orders or cancel orders that we reasonably believe would violate these Wholesale Terms.
7. Payment and taxes
7.1 All orders must be prepaid by credit card via the website.
7.2 You are responsible for collecting and remitting sales tax on your retail sales. Orders without a valid resale certificate on file will be charged sales tax.
8. Shipping
8.1 Free shipping offers, including the $75 free-shipping threshold for consumer orders, do not apply to wholesale orders. Wholesale orders are charged actual carrier rates.
8.2 In-stock orders ship within 3-5 business days of confirmation and payment.
8.3 Title and risk of loss pass to you when we hand the order to the carrier. We will help you file carrier claims for loss or damage in transit.
8.4 Inspect each shipment on arrival. Report any shortage, damage or wrong item within five (5) business days of delivery, with photos of the outer box, packing material and affected items. After that period, the shipment is considered accepted.
9. Returns
9.1 Wholesale sales are final. We do not accept returns of overstock, slow-selling or expired products.
9.2 Damaged, defective or wrong items reported under Section 8.4 will be replaced or credited to your account at our option. Do not return product without a Return Authorization number from us.
9.3 If we discontinue a product, we may, at our discretion, accept unopened, sellable units purchased in the prior ninety (90) days for store credit, less a 25% restocking fee.
10. Product safety
10.1 If a customer reports an adverse reaction to one of our products, send us the details (product, lot code, date, description, customer contact if they agree) within two (2) business days at legal@shearadiance.com. We have federal reporting duties for serious adverse events and need prompt notice to meet them.
10.2 If we issue a recall or stop-sale notice, you must pull the affected products from sale right away and cooperate with our instructions.
11. Monitoring and enforcement
11.1 We may monitor online listings, make test purchases and trace lot codes to confirm compliance. On request, you will tell us where and how you sell our products and give us reasonable records to confirm it.
11.2 If we believe you have violated Sections 2 through 5, we may do any of the following: send written notice and require the listing or conduct to stop within five (5) business days; suspend your account and hold open orders; close your account and cancel open orders; withdraw wholesale pricing and payment terms; report listings to the platform; and pursue any other remedy available at law, including claims for trademark infringement.
11.3 Products resold in violation of these Wholesale Terms are sold without our authorization and are not covered by our satisfaction guarantee or customer support.
11.4 Our failure or delay in enforcing any term is not a waiver of it.
12. Relationship and term
12.1 You are an independent, non-exclusive reseller. Nothing in these Wholesale Terms creates a partnership, franchise, agency, joint venture or exclusive territory.
12.2 Either party may end the wholesale relationship at any time with written notice. Amounts owed remain due. Sections 3, 4, 5.1, 5.4, 9, 10, 11 and 13 survive termination as to products you still hold.
13. Warranty, liability and indemnity
13.1 We warrant that products will match their labeled ingredients and be free from manufacturing defects when shipped. We make no other warranty, express or implied, including merchantability or fitness for a particular purpose.
13.2 Our total liability for any claim relating to an order is limited to the amount you paid for the products involved. Neither party is liable for lost profits or indirect, incidental or consequential damages.
13.3 You will indemnify Shea Radiance against claims arising from your breach of these Wholesale Terms, your storage, handling, alteration or use of the products in services, or any product claim you make that we did not approve. We will indemnify you against third-party claims that a product, as shipped and used as directed, contained a manufacturing defect.
14. General
14.1 These Wholesale Terms are governed by Maryland law. Any dispute will be brought in the state or federal courts serving Howard County, Maryland.
14.2 Orders placed through Faire are also subject to Faire's terms. Sections 2 through 5, 10 and 11 apply to Shea Radiance products bought through Faire.
14.3 We may update these Wholesale Terms by posting a new version and emailing account holders. Changes apply to orders placed after the update.
14.4 These Wholesale Terms, any credit application and our order confirmations are the entire agreement on wholesale purchases. If any provision is unenforceable, the rest remains in effect.
